Petroleum Oct 24,2026

The Board of Directors of Bharat Petroleum Corporation Limited (BPCL) approved the incorporation of a wholly owned subsidiary in India on October 23, 2026. The subsidiary will be the dedicated project company for the proposed greenfield refinery and petrochemical complex at Ramayapatnam in Andhra Pradesh. It will also cover the facilities associated with the complex.

The new entity will have an initial authorised share capital of up to ₹4,900 crore. BPCL said the structure will give the project a dedicated legal and governance framework for carrying out its activities. The plan remains subject to the necessary government, statutory and regulatory approvals.

BPCL stated that the subsidiary will support due diligence work and discussions with lenders and potential partners. It will also help the company arrive at a suitable financing and partnership structure for the refinery and petrochemical project.

The detailed feasibility reports for the project are still being finalised. The financial investment decision and financial commitments will be considered separately by the competent authorities at an appropriate stage. The article does not state the refinery’s capacity, total project cost, land details or timeline.

BPCL said it will share further details of the subsidiary in the prescribed format later. The disclosure was made to the stock exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
